The department

We have one of the leading private funds practices in the world, with coverage in the US, Europe and Asia. Our integrated team of funds, regulatory and tax specialists advise a wide range of fund managers and advisers with a variety of strategies, including private equity and venture capital, real estate, infrastructure and debt. The European team works with UK, continental European, US and global asset managers, and is ranked in Band 2 for Private Equity Funds by Chambers UK.

The position

This role will suit a dynamic individual who has experience managing some of his or her own matters.  The ideal candidate will have experience advising private equity firms on fund formation, fund administration, portfolio investment and compliance issues.  The role will provide the opportunity to advise private investment firms on a variety of funds matters involving private investment funds focused on all major investment strategies.

Responsibilities

Responsibilities include:

  • Advising generally on fund formation issues, including drafting offering documents, subscription documents, side letters and partnership agreements, negotiating with institutional investors, understanding market terms and supervising trainee solicitors
  • Advising fund sponsors on operation and compliance issues
  • Advising on portfolio investment-related matters, including special purpose vehicles and joint venture arrangements, and general partner/manager compensation issues
  • Structuring and negotiating fund secondary transactions, including fund restructurings, tender offers and portfolio purchases
  • Reviewing and negotiating fund documentation for institutional investors investing in private equity and venture funds with a variety of strategies
  • Negotiating with service providers, including placement agents
Skills, experience & qualifications
  • Recently admitted to practice or due to be admitted to practice in a common law jurisdiction
  • Proven ability to work on complex projects
