The department

We specialise in acting for entrepreneurs, owner managed businesses (OMBs) and investors. We advise in relation to corporate transactions, banking, financing, commercial contracts and on all aspects of running and growing a business in the UK. Our lawyers combine strong technical expertise with a track record in delivering flexible and creative solutions for our clients.

Purpose of job

To advise on a variety of commercial matters and to take responsibility, under supervision, for your own caseload as well as assisting the fee earners in the Corporate, Commercial & Finance team with respect to the commercial aspects of their caseload.

Responsibilities
  • Drafting, negotiating and advising on the terms of a variety of commercial contracts.
  • Advising generally on commercial matters, including in relation to liability, confidentiality data protection and exploitation of intellectual property.
  • The role would have a particular focus on technology contracts, including:
    • Agreements relating to the development, licensing and maintenance of software;
    • E-commerce terms and conditions; and
    • Website terms and conditions.
  • Other contracts are likely to include:
    • Intellectual property assignment and licensing agreements;
    • Data protection documents, such as privacy notices and data processing agreements;  
    • Contracts for the supply of goods and services;
    • Agency and distribution agreements;
    • Confidentiality agreements;
    • Outsourcing contracts;
    • Sponsorship and branding agreements; and
    • Introducer agreements.
  • Communicating directly with clients (predominantly entrepreneurs and early stage ventures) and conducting meetings to advise on commercial law matters, managing risk and solving problems.
  • Liaising with other lawyers and legal representatives.
  • Providing corporate support and due diligence on corporate transactions e.g. reviewing commercial contracts and reporting on the same in due diligence reports.
  • Researching points of law and other factual issues, through the use of legal databases, textbooks and other appropriate sources.
  • Carrying out business development activities to support the growth of the Corporate Commercial & Finance team (with a particular focus on the technology sector), including blogging, vlogging, podcasts, attending events, making presentations on legal issues and using social media to raise both your personal profile and that of the firm.
  • Assisting with ad hoc administrative and legal tasks under instruction.
