The department

The Commercial team provides legal advice in respect of the transactions and commercial relationships which are central to businesses’ trading activities and strategic plans.

The team provides commercial answers to legal issues – determining the issues which affect our clients’ commercial operations, identifying the different courses open to our clients, and providing our recommendations as to the best way forward given the circumstances, timescale and resources available to our clients.

Accordingly, we draft, review and negotiate commercial contracts of all kinds as well as standard terms and conditions, and we help our clients to exit agreements which they wish to leave.

The clients include UK and international multi-nationals, household names, small and medium sized businesses, and entrepreneurs as well as trade associations.

The opportunity

The primary responsibilities of this role involve providing advisory services, drafting agreements, and offering pre-litigation dispute advice across a wide range of practice areas, with a specific focus on fashion and technology. Additionally, the work entails dealing with commercial law matters, incorporating aspects of IP law, public law, competition law, consumer law, and privacy law.

Responsibilities

We are looking for a Commercial & Technology lawyer with a mix of advisory and transactional experience who can demonstrate high quality experience in:

  • Drafting, negotiating, and advising on a wide range of commercial agreements (business to business and business to consumer) many of which will have an international element but with a particular focus on the types of agreement and client sectors listed below;
  • Agency agreements and advice to agents and principals subject to the Commercial Agents Regulations;
  • Distributorship agreements
  • Drafting and advising in relation to online platforms, website terms and conditions for static or transactional websites and social media sites or mobile apps
  • Non-contentious intellectual property: licensing, franchising, ownership and protection of IP in the context of commercial agreements;
  • Client sector focuses:  fashion and tech.

The role will also require the candidate to:

  • draft commercial agreements
  • engage actively in business development
  • provide and attend training where required
