The Department

We are looking to recruit a junior Associate within our tax team based at our London office.

Our tax practice is integrally involved in the firm’s extensive mergers & acquisitions, private equity, private funds and business restructuring practices, structuring and documenting complicated, and often innovative transactions. These include domestic and cross-border mergers & acquisitions, leveraged buyouts, joint ventures, public offerings, spin-offs, recapitalisations and other corporate reorganisations.

Additionally, we advise private equity, venture capital and other investment funds, foreign and domestic, as to fund structure and portfolio investments. Our extensive multinational tax and fund experience enables us to advise fund clients regarding techniques for accommodating international and other investors with special needs s. We also advise pension plans that invest in private equity transactions both directly and as investors in these funds.

The Role

Your experience will have been spent at one or more tax and/or law practices with an internationally recognised tax offering. The successful candidate(s) will have demonstrable experience of advising private equity firms, credit funds, corporates and commercial banks.

The work includes all aspects of corporate taxation covering corporation tax, VAT and stamp duty aspects of commercial transactions including private equity investments, private and public company takeovers and corporate restructurings and spin offs.

Candidates will also ideally have experience in, and knowledge of:

  • Employment taxation, including income tax and National Insurance contributions
  • Share incentive schemes
  • Management remuneration and compensation schemes

Our work can have an international aspect that requires coordination with our US and European offices as well as local counsel in various jurisdictions.  Key clients include large corporates and the firm’s private equity clients.  The role may include significant client contact and business development activities.

Person Specification

Key Duties and Responsibilities

  • drafting and reviewing commercial contracts, partnership agreements, credit facility agreements, sale documents and employee share plans;
  • researching complex points of tax law, and drafting memoranda setting out developed conclusions;
  • drafting correspondence with the tax authorities;
  • diligencing share schemes in the context of corporate transactions;

Skills required

  • Qualified lawyer;
  • Experience of working at a large City / International firm;
  • Good communication and organisational skills;
  • Ability to work as a team and contribute to its success;
  • Ability to assess, draft and update policies and precedents ensuring stakeholder consultation where appropriate;
  • Solutions orientated with a commercial and pragmatic approach;
