The role

The Banking and Finance team are looking for an enthusiastic and motivated team player, to work with our major client base (housing associations, institutional investors, house builders and developers, funders, local authorities, charities, SMEs and other corporates and joint ventures) undertaking all types of funding work including loan agreements, security documents, bond finance and a broad mix of other related work. You will be required to draft and negotiate short documents and manage simple transactions as well as working as part of the project team on larger transactions, including with other areas of the firm. 

The team

There is 1 Partner, 1 Senior Associate, 2 Associates and a trainee in the Banking and Finance team.  We are also recruiting an additional partner and senior associate as we are planning to expand the finance practice. The team works in partnership with the Charging team which comprises of 1 Partner, a Senior Associate, 2 Associates, 1 solicitor and 1 paralegal.  Both the Banking and Finance team and the Charging team are part of the much larger Housing and Local Government team.  The team also works with the Real Estate and Corporate teams

Client base and type of work

Over the last few years the team have used their expertise and understanding of the sector to help clients such as M&G Investments and First Abu Dhabi Bank to evolve and document new funding structures.  The team advise a variety of clients of all sizes, including some of the largest housing associations (11 of the G15), charities, corporate borrowers and funders.  They also advise on innovative alternative finance structures, including equity funding and SPV structures as well as joint arrangements with local authorities, developers and third party investors.

The team regularly act opposite large city firms, including the likes of Clifford Chance, Allen & Overy, Addleshaws and Pinsent Masons, as well as the specialist firms like Trowers & Hamlins and Bryan Cove.

To continue to deliver an expert service to borrower and lender clients with high quality advice at good value for money.

To expand the finance practice by raising our external profile and attracting interesting and innovative work from both existing and new clients, both in the social housing sector and also in the real estate and corporate sectors.  

Candidate specification

Experience in banking and finance; experience in the social housing sector would be helpful but not essential

Strong academic background

Good work ethic

Excellent written and oral communication skills

Versatility to support partners and senior solicitors and manage own workload

Ability to provide service at high client focussed levels

Genuine interest in and dedication to a career in the finance sector at WS

Recent work highlights

£44.3 million loan facility for shared ownership portfolio for Genesis Housing Association with Aviva.

Advising L&Q on the £800 million regeneration of Purfleet, including the funding arrangements.

Advising Vivid on two recent private placements with US investors and on the restructuring of their loan portfolio.

Advising Longhurst on a bond issue for £200m and also a new revolving credit facility and restated facilities for the group as part of the restructuring of their loan portfolio.

Acting for M&G in relation to structuring their social housing direct investment product and advising on £175m aggregated product for 17 issuers.

Acting for BAE in relation to private placements, including for social housing providers.

Acting for A2 Dominion in relation to the funding of several JV development sites with Mount Anvil.
